ARM Investments EB-5 Immigrant Investor Program
1. No Guarantee of Financial Return or Capital Repayment "At-Risk" Requirement
All investments made through the ARM Investments EB-5 Program are strictly subject to commercial and business risks. In accordance with U.S. Citizenship and Immigration Services (USCIS) regulations, the investor's capital must remain fully "at risk" throughout the sustainment period.
- No Capital Guarantees: ARM Investments, the Regional Center, the Project Developer, and their respective affiliates are legally prohibited from guaranteeing the return of any portion of the investment capital, or predicting a specific rate of financial return.
- Risk of Loss: There is a total risk of loss. Investors may lose a portion or the entirety of their $800,000 (Targeted Employment Area) or $1,050,000 (Non-Targeted Employment Area) investment.
2. No Guarantee of Permanent Residency Immigration Risk
Participation in an ARM Investments EB-5 project does not guarantee that the investor, or their qualifying dependents, will receive a conditional or permanent U.S. Green Card.
- USCIS Adjudication: The approval of Form I-526E (Immigrant Petition by Regional Center Investor) and Form I-829 (Petition by Investor to Remove Conditions on Permanent Resident Status) is solely at the discretion of USCIS.
- Job Creation Dependencies: To remove conditions on permanent residency, the project must successfully create or preserve at least ten (10) full-time jobs for qualifying U.S. workers per investor. If the project delays construction, fails financially, or does not meet its economic job-creation projections, investors may face a denial of their I-829 petition and risk losing their lawful status in the United States.
3. U.S. Securities Law and Offering Compliance
The units, interests, or shares offered by ARM Investments have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended, or the securities laws of any U.S. state or foreign jurisdiction.
- Accredited Investors Only: This offering is made in reliance on exemptions from registration, including Regulation D (Rule 506(c)) and/or Regulation S. It is available only to "Accredited Investors" as defined under Rule 501 of Regulation D.

4. Regulatory and Legislative Changes
The EB-5 program is subject to ongoing statutory, regulatory, and policy changes by the United States Congress, USCIS, and the Department of Homeland Security (DHS).
- Processing Timelines: Processing times for I-526E and I-829 petitions fluctuate unpredictably. ARM Investments cannot be held liable for immigration backlogs, visa retrogression, or procedural delays caused by government agencies.
- Administrative Costs: Minimum investment thresholds are subject to mandatory consumer price index adjustments. All associated regional center administrative fees, legal representation costs, and USCIS filing fees are non-reimbursable except as explicitly outlined in the project's Confidential Private Placement Memorandum (PPM).
